THE CONSTITUTION OF THE
MIAMISBURG SPORTSMEN’S CLUB



This organization shall be known as the MIAMISBURG SPORTSMEN’S CLUB.

THE PURPOSE OF THIS CLUB IS:

To support the constitution and bill of rights of the United States of America as well as
the constitution of the State of Ohio.

To promote firearms safety.

To promote interest in the shooting sports.

To provide facilities for the shooting sports.

To bring together similar interest in fishing, hunting, and the outdoors so we may teach
and encourage scientific methods in all sports, promote better sportsmanship afield,
support sound conservation and restoration programs.

INCORPORATON:

The Miamisburg Sportsmen’s Club shall be incorporated by the laws of the United States
and the State of Ohio.

MEMBERSHIP:

Any reputable citizen of the United States who is not prohibited from owning a firearm
by the laws of the United States or the State of Ohio is eligible to become a candidate for
membership.

The types of membership shall be:

• Annual
• Associate
• Family
• Junior
• Honorary
• Probationary
• Special

OFFICERS:

The Officers shall be President, Vice President, Recording Secretary, Treasurer and
Membership Chairman.

DUTIES OF OFFICERS:

The President shall be the chief executive of the club and preside and direct club
meetings either regular or special. The President shall be an ex-officio member of all
committees.

The Vice President shall perform the duties of the President in the absence of the
President.

The Recording Secretary shall record the minutes of all meetings, and handle all
correspondence. The Recording Secretary shall report the minutes of the previous
membership meeting at the next regular membership meeting. The Secretary shall have
charge of the archives of the club.

The Treasurer shall handle all financial transactions of the club. Collect all membership
dues, and any other income. The Treasurer shall receive all bills, check them for validity
and make payment. The Treasurer shall handle all disbursements by check. The
Treasurer shall make a report at each regular meeting.

The Membership Chairman shall keep a record of all members.

An election of Officers shall be held annually at the October membership meeting.

The Officers shall assume their duties at the November membership meeting.

TRUSTEES:

There shall be a board of twelve (12) Trustees.

Past Presidents may be ex-officio members of the board of Trustees.

A Trustee is a person who is entrusted with the property of the Miamisburg Sportsmen’s
Club for the benefit of the club members.

Each Trustee shall hold office for three (3) years. The term of office shall be arranged so
that 1/3 shall expire at each annual membership meeting.

The election of Trustees shall be held annually at the October membership meeting.

The Trustees shall assume their duties at the November membership meeting.

If an officer or trustee is unable to finish their term of office, the unfinished term shall be
filled by a special election at the next regular meeting.

MEMBERSHIP MEETINGS:

A regular membership meeting may be held each month. Special meetings may be
called.

Five members present shall constitute a quorum.

OFFICER, TRUSTEE AND DIRECTORS DEFENSE:

The Miamisburg Sportsmen’s Club shall provide a legal defense to any Officer, Trustee
or Director arising from their actions while acting in the performance of their official
duties.

AMENDMENT:

This constitution can be amended at the October membership meeting. The Recording
Secretary shall be notified in writing of any proposed changes to the constitution at least
90 days prior to the October meeting. The Recording Secretary shall post the proposed
amendments on the official bulletin board. The Recording Secretary may include the
proposed amendments in the news letter. The Recording Secretary shall read the
proposed changes at the September and October membership meetings. A vote shall be
taken after the reading of the proposed changes at the October meeting. A 2/3 majority
voting for the amendment shall be required for passage.

SEVERABILITY CLAUSE:

If any provision of this Constitution is found to be invalid by a competent legal authority
the remaining uncontested provisions shall remain in effect. The Officers and Trustees
shall have the authority to substitute a provision which will meet the objections of the
contested provision.

DISSOLUTION:

In the event that the Miamisburg Sportsmen’s Club is dissolved, all remaining assets shall
be distributed to a similar organization organized for the same or similar purpose.

July 22, 2003. first reading on September 10, 2003, second reading and approval on
October 8, 2003 This constitution takes effect on November 12, 2003. The number of
Trustees was increased from 9 to 12 at the October 2006 membership meeting. This
amendment takes effect on November 8, 2006.
